Terms of Service

These Terms of Service (hereinafter referred to as "these Terms") define the terms and conditions for the use of the online shop (hereinafter referred to as "the Service") provided by TS Trading Co., Ltd. (hereinafter referred to as "the Company") on this website. Registered users (hereinafter referred to as "Users") are requested to use the Service in accordance with these Terms.

Article 1 (Application)

1. These Terms shall apply to all relationships related to the use of the Service between the User and the Company.

2. In addition to these Terms, the Company may make various rules regarding the use of the Service (hereinafter referred to as "Individual Regulations"). Regardless of their name, these Individual Regulations shall constitute a part of these Terms.

3. If the provisions of these Terms conflict with the provisions of the Individual Regulations in the preceding paragraph, the provisions of the Individual Regulations shall prevail unless otherwise specified in the Individual Regulations.

Article 2 (Sales Contract)

1. In the Service, a sales contract shall be concluded when a User makes an application for purchase to the Company and the Company notifies the User that it has accepted the application. The ownership of the product shall be transferred to the User when the Company hands over the product to the delivery company.

2. The Company may cancel the sales contract set forth in the preceding paragraph without prior notice to the User if the User falls under any of the following reasons:

   1. If the User violates these Terms

   2. If the delivery of the product is not completed due to unknown destination or long-term absence

   3. If the Company deems that the relationship of trust between the Company and the User has been damaged

3. The payment method, delivery method, cancellation method of purchase application, or return method regarding the Service shall be determined separately by the Company.

Article 3 (Intellectual Property Rights) The copyright or other intellectual property rights of product photos and other content (hereinafter referred to as "Content") provided by the Service belong to the Company and legitimate right holders such as content providers, and Users may not reproduce, reprint, modify, or make other secondary uses of them without permission.

Article 4 (Prohibitions) Users must not perform the following acts when using the Service:

1. Acts that violate laws and regulations or public order and morals

2. Acts related to criminal acts

3. Acts that infringe on copyrights, trademark rights, or other intellectual property rights contained in the Service

4. Acts that destroy or interfere with the functions of the Company's server or network

5. Acts of using information obtained by the Service commercially

6. Acts that may interfere with the operation of the Company's services

7. Acts of unauthorized access or attempting to do so

8. Acts of collecting or accumulating personal information, etc. regarding other Users

9. Acts of impersonating other Users

10. Acts of directly or indirectly providing benefits to antisocial forces in connection with the Company's services

11. Other acts that the Company deems inappropriate

Article 5 (Suspension of Provision of the Service, etc.)

1. The Company may suspend or interrupt the provision of all or part of the Service without prior notice to the User if it determines that there is any of the following reasons:

   1. When performing maintenance inspections or updates of the computer system related to the Service

   2. When it becomes difficult to provide the Service due to force majeure such as earthquakes, lightning, fire, power outages, or natural disasters

   3. When computers or communication lines, etc. stop due to an accident

   4. When the Company determines that it is difficult to provide the Service for other reasons

2. The Company shall not be liable for any disadvantage or damage suffered by the User or a third party due to the suspension or interruption of the provision of the Service.

Article 6 (Usage Restrictions and Deregistration)

1. The Company may restrict the use of all or part of the Service or deregister the User as a user without prior notice if the User falls under any of the following:

   1. If any provision of these Terms is violated

   2. If it is found that there is a false fact in the registered matters

   3. If the credit card notified by the User as a means of payment is suspended

   4. If there is a default in payment of fees, etc.

   5. If there is no response to communication from the Company for a certain period of time

   6. If there is no use for a certain period of time from the last use of the Service

   7. In other cases where the Company determines that the use of the Service is not appropriate

2. The Company shall not be liable for any damage caused to the User by the acts performed by the Company based on this Article.

Article 7 (Disclaimer)

1. The Company shall be exempted from liability for its default unless it is due to the Company's intentional or gross negligence.

2. Even if the Company is liable for any reason, it shall be liable for compensation only within the range of damages that would normally occur and within the range of the price (equivalent to one month's worth in the case of continuous services) in paid services.

3. The Company shall not be responsible for any transactions, communications, or disputes, etc. that occur between the User and other Users or third parties regarding the Service.

Article 8 (Change of Service Content, etc.) The Company may change the content of the Service or discontinue the provision of the Service without notifying the User, and shall not be liable for any damage caused to the User by this.

Article 9 (Change of Terms of Service) The Company may change these Terms at any time without notifying the User if it deems it necessary. If the User starts using the Service after the change of these Terms, the User shall be deemed to have agreed to the changed Terms.

Article 10 (Handling of Personal Information) The Company shall appropriately handle personal information obtained through the use of the Service in accordance with the Company's "Privacy Policy".

Article 11 (Notification or Communication) Notification or communication between the User and the Company shall be made by the method prescribed by the Company. Unless the User notifies the change in accordance with the method separately prescribed by the Company, the Company considers the currently registered contact information to be valid and notifies or contacts said contact information, and these are deemed to have reached the User at the time of transmission.

Article 12 (Prohibition of Assignment of Rights and Obligations) Users may not assign their status under the usage contract or rights or obligations based on these Terms to a third party or provide them as collateral without the prior written consent of the Company.

Article 13 (Governing Law and Jurisdiction)

1. The interpretation of these Terms shall be governed by the laws of Japan.

2. In the event of a dispute regarding the Service, the court having jurisdiction over the location of the Company's head office shall be the exclusive agreed jurisdictional court.
